1. Agreement to Terms

By accessing or using therapyden.com (the "Site") and the TherapyDen directory service (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Site or Service.

These Terms apply to all users, including visitors seeking therapists ("Clients"), licensed therapists who create profiles ("Therapists"), and organizations managing multiple therapist profiles ("Enterprise Partners").

2. Description of the Service

TherapyDen operates an online directory that connects Clients with licensed mental health professionals. The Service allows Therapists to create professional profiles and receive inquiries from Clients.

TherapyDen does not provide therapy, medical advice, or counseling services. No therapist-client, medical, or advisory relationship is created between you and BMIS LLC d/b/a TherapyDen.

3. Eligibility

Therapists must hold an active, valid license or be practicing under the supervision of a licensed professional in a U.S. state or territory.

Enterprise Partners must represent organizations that employ or contract with licensed therapists and must have proper authorization to create and manage profiles on behalf of those therapists.

4. Accounts and Profiles

4.1 Individual Therapist Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information on your profile.

4.2 Enterprise Partner Accounts

Enterprise Partners may create and manage profiles on behalf of their affiliated therapists, subject to the following:

• (a) Each therapist whose profile is created must hold a valid license as described in Section 3.
• (b) The Enterprise Partner is responsible for the accuracy of all information submitted on behalf of its therapists.
• (c) The Enterprise Partner must have written authorization from each therapist to create and manage a profile on their behalf.
• (d) If a therapist leaves the Enterprise Partner's organization, the Enterprise Partner must promptly notify BMIS LLC d/b/a TherapyDen and transfer or deactivate the profile as appropriate.

5. Subscriptions and Payments

5.1 Free and Premium Profiles

BMIS LLC d/b/a TherapyDen offers free profiles and premium membership subscriptions. Free profiles include a direct link to the therapist's profile page. Premium memberships make the profile visible in BMIS LLC d/b/a TherapyDen search results and provide access to additional features.

5.2 Billing

Premium subscriptions are billed on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize BMIS LLC d/b/a TherapyDen to charge the payment method on file for the applicable fees.

5.3 Cancellation

You may cancel your premium subscription at any time through your account settings. Cancellation and refund terms are described in our Refund & Cancellation Policy, available at https://www.therapyden.com/refund-cancellation-policy.

6. Therapist or Third-Party Relationship and Communications

BMIS LLC d/b/a TherapyDen facilitates the transmission of inquiries from Clients to Therapists via the contact form on each therapist's profile. BMIS LLC d/b/a TherapyDen does not store, monitor, or review the content of these communications.

We do not represent or warrant that any particular Therapist, treatment, product, or service is safe, appropriate, effective, or of any specific quality. We do not recommend or endorse any specific Therapists, treatment, product, or service.

BMIS LLC d/b/a TherapyDen does not guarantee that anyone you contact via the Site will respond to you within a certain period of time or at all, or that you will form a Therapist-Patient relationship with any Therapist on the Site.

Any relationships or transactions that you enter into with a Therapist or any third party listed on the Site are solely between you and them. BMIS LLC d/b/a TherapyDen is not involved in monitoring, validating, verifying, or reviewing any services, information, treatment, or products provided by any Therapist.

BY ACCEPTING THESE TERMS OF USE YOU WAIVE ALL CLAIMS AGAINST BMIS LLC d/b/a THERAPYDEN ARISING FROM OR RELATED TO YOUR USE OF THE SITE AND CONTENT.

7. Prohibited Uses

You agree not to:

• (a) Provide false, misleading, or inaccurate information on a profile or account.
• (b) Use the Site in any way that violates federal, state, local, or international law or regulation.
• (c) Send spam, unsolicited communications, or commercial messages through the Service.
• (d) Attempt to gain unauthorized access to the Site, Service, or any accounts or systems.
• (e) Scrape, copy, reproduce, or redistribute content from the Site without prior written consent.
• (f) Harass, abuse, threaten, or discriminate against any user of the Service.
• (g) Interfere with the operation of the Site or Service, including introducing viruses or other harmful code.
• (h) Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• (i) Upload images, videos, or audio files of other people without their permission.
• (j) Send any harassing, disparaging, or unwanted communications to individuals or entities featured on the Site.

You are solely responsible for any breach of your obligations under these Terms and for the consequences of any such breach.

8. Content and Intellectual Property

8.1 Your Content

By submitting content to BMIS LLC d/b/a TherapyDen (including profile information, text, and images), you grant BMIS LLC d/b/a TherapyDen a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.

You represent that you have the right to submit all content on your profile, including photographs and professional credentials.

8.2 TherapyDen Content

All content on the Site (excluding user-submitted content) is the property of BMIS LLC d/b/a TherapyDen and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from BMIS LLC d/b/a TherapyDen's content without prior written consent.

8.3 DMCA Compliance

BMIS LLC d/b/a TherapyDen respects intellectual property rights. If you believe that content on the Site infringes your copyright, please submit a notice pursuant to the Digital Millennium Copyright Act (17 U.S.C. 512) to hello@therapyden.com.

9. Site Content

The Site, the Services, and the Content are offered for informational purposes only. The Therapist profiles, listings, Content, and other information provided on or through the Site are not intended to replace information you should seek from a licensed healthcare provider.

BMIS LLC d/b/a TherapyDen is not responsible or liable for the accuracy, usefulness, or availability of any information transmitted or made available via the Site, and is not responsible or liable for any error or omission in any Content.

10. Privacy

Your use of the Service is governed by our Privacy Policy, available at https://www.therapyden.com/privacy-policy.

11. Disclaimer of Warranties

The Site and Service are provided "as is" and "as available" without warranties of any kind, whether express or implied. BMIS LLC d/b/a TherapyDen does not warrant that:

• (a) The Service will be uninterrupted, secure, or error-free.
• (b) The information provided by Therapists on their profiles is accurate, complete, or current.
• (c) Any therapist listed on the Site is suitable for your needs.
• (d) Use of the Service will result in any particular number of client inquiries, referrals, or outcomes.

12. Limitation of Liability

Under no circumstances shall BMIS LLC d/b/a TherapyDen, its officers, directors, employees, and agents be liable for any direct or indirect loss, damage, liability, or expense incurred or suffered which is claimed to result from your use or loss of use of the Site or any Services, including without limitation, any fault, error, omission, interruption, or delay with respect thereto.

13. Indemnification

YOU WILL INDEMNIFY BMIS LLC d/b/a THERAPYDEN FROM ALL LOSSES AND LIABILITIES RESULTING FROM YOUR USE OF THE SITE IN VIOLATION OF THESE TERMS OF USE, INCLUDING ANY PROHIBITED USES OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER BMIS LLC d/b/a THERAPYDEN OR LAW ENFORCEMENT AUTHORITIES.

14. Termination

14.1 By You

You may terminate your account at any time by canceling your subscription and deleting your profile, or by contacting BMIS LLC d/b/a TherapyDen support.

14.2 By TherapyDen

BMIS LLC d/b/a TherapyDen may suspend or terminate your access to the Service if you violate these Terms, if your profile contains inaccurate or misleading information, or if your conduct is harmful to other users or to BMIS LLC d/b/a TherapyDen. BMIS LLC d/b/a TherapyDen will make reasonable efforts to notify you before or promptly after termination, except in cases of fraud, legal obligation, or repeated violations.

14.3 Changes to Site

BMIS LLC d/b/a TherapyDen may, for any reason, at any time, modify, revise, or discontinue, temporarily or permanently, the Site or any part thereof. BMIS LLC d/b/a TherapyDen will not provide any customer support or website maintenance other than maintenance required to ensure the Site is operational.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms of Use and any claim or dispute arising out of or related to these Terms will be governed by and construed in accordance with the laws of the State of Oregon, without regard to its choice of laws principles. Any claim or dispute shall be subject to the exclusive jurisdiction of state or federal courts located in Multnomah County, Oregon.

15.2 Claims Period

Any claim or dispute arising out of or relating to these Terms must be brought within one (1) year from the date such cause of action arises.

15.3 Informal Resolution

Before filing any formal claim, you agree to contact BMIS LLC d/b/a TherapyDen at hello@therapyden.com and attempt to resolve the dispute informally for at least 30 days.

16. Entire Agreement

These Terms of Use, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and BMIS LLC d/b/a TherapyDen relating to your use of this Site.

17. Changes to These Terms

BMIS LLC d/b/a TherapyDen reserves the right to revise these Terms from time to time. By continuing to access the Site or use our Service after those revisions become effective, you agree to be bound by the revised Terms. When applicable, we will post a notice of any material changes here.
